Terms and conditions

By accessing and using the Tesseracq Labs website and services, you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you must not use our website or services. These terms apply to all visitors, users, and clients of Tesseracq Labs.

For agency partners, the terms agreed in writing with the partner take precedence.

Tesseracq Labs provides web development, mobile application development, UI/UX design, branding, and related digital services. The specific scope, deliverables, timeline, and cost of any project will be defined in a separate project agreement or proposal between Tesseracq Labs and the client.

We reserve the right to refuse service to anyone for any reason at any time. We may also modify, suspend, or discontinue any part of our services without prior notice.

Our property

All content on the Tesseracq Labs website, including but not limited to text, graphics, logos, images, animations, 3D assets, source code, and software, is the exclusive property of Tesseracq Labs and is protected by intellectual property laws. Unauthorised use, reproduction, or distribution is strictly prohibited.

Client work

Upon full payment of all agreed-upon fees, ownership of the final deliverables (as defined in the project agreement) will transfer to the client. Tesseracq Labs retains the right to showcase completed work in our portfolio unless otherwise agreed upon in writing.

Tesseracq Labs retains ownership of all preliminary concepts, drafts, and unused designs that were not selected as part of the final deliverables.

As a client of Tesseracq Labs, you agree to:

• Provide accurate and complete information necessary for project execution
• Respond to requests for feedback and approvals in a timely manner
• Ensure that all content and materials provided do not infringe on third-party rights
• Make payments as set out in the project quote
• Designate a single point of contact for project communications

Your quote. Each project has a written quote that sets out the price, the phases of work, the currency and the payment schedule. If a quote or signed project agreement differs from these Terms, the quote or agreement applies.

Deposit. We ask for a deposit of 30% of the quoted price before work starts. The deposit pays for discovery, scoping and reserving our team’s time for your project.

Pay as each phase is done. After the deposit, we invoice each phase of work only when that phase is complete. Invoices are due within 30 days.

Your currency. Malaysian clients are invoiced in Malaysian Ringgit. Clients outside Malaysia are invoiced in their own currency, such as Singapore dollars, Australian dollars or US dollars, as set out in the quote.

How to pay. Malaysian clients pay through our secure payment link (online banking, DuitNow or card). Clients outside Malaysia pay by bank transfer. Every payment goes only to a bank account in the name of Tesseracq Labs Ventures (202503296558), as shown on our official invoice. We will never ask you to pay a personal account, and our bank details never change by email. If you receive a message saying they have, call us on a number you already know before you pay.

If plans change. The deposit is not refunded, but it is never lost. If you cancel, you pay only for the phases completed and the work done on the current phase, the deposit counts toward that amount, and we hand over all the work done to date once it is paid. If you cancel before we have used the deposit, you can apply what is left of it to a new project with us within 6 months. You can also pause a project at no cost for up to 90 days.

Late payment. If an invoice is overdue, we may pause work on the project until it is paid. We will tell you in writing before we pause.

Ownership. Ownership of the delivered work passes to you once the project is paid in full.

Taxes. Prices exclude taxes unless the quote says otherwise. Where tax applies, it is added to the invoice at the rate in force.

Care plans. Care plans are billed monthly in advance, as set out in the care plan quote.

Tesseracq Labs will make reasonable efforts to complete projects within agreed-upon timelines. However, timelines may be affected by factors including but not limited to:

• Delays in receiving client feedback or materials
• Changes in project scope or requirements
• Force majeure events beyond our reasonable control

Any significant changes to the project timeline will be communicated to the client as soon as reasonably possible.

The number of revision rounds included in a project will be specified in the project agreement. Additional revisions beyond the agreed scope may incur extra charges. Major changes to the project scope after approval may require a new agreement or amendment.

To the fullest extent permitted by applicable law, Tesseracq Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising from your use of our website or services.

Our total liability for any claims arising from or related to our services shall not exceed the total amount paid by you for the specific service giving rise to the claim.

Our services are provided “as is” and “as available” without warranties of any kind, either express or implied. While we strive to deliver high-quality work, we do not guarantee that our services will be uninterrupted, error-free, or meet all of your specific requirements beyond what is agreed upon in the project scope.

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the project. This obligation survives the termination of any agreement between the parties. Tesseracq Labs will not disclose client business information to third parties without written consent.

Either party may terminate a project agreement with written notice as specified in the project agreement. In the event of termination:

• The client shall pay for all work completed up to the date of termination
• Tesseracq Labs will deliver all completed work upon receipt of outstanding payments

These Terms and Conditions shall be governed by and construed in accordance with the laws of Malaysia. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of Malaysia.

We reserve the right to modify these Terms and Conditions at any time. Changes will be effective immediately upon posting on our website. Your continued use of our services after any modifications constitutes acceptance of the updated terms. We encourage you to periodically review these terms.
