By accessing and using the Tesseracq Labs website and services, you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you must not use our website or services. These terms apply to all visitors, users, and clients of Tesseracq Labs.

Tesseracq Labs provides web development, mobile application development, UI/UX design, branding, and related digital services. The specific scope, deliverables, timeline, and cost of any project will be defined in a separate project agreement or proposal between Tesseracq Labs and the client.

We reserve the right to refuse service to anyone for any reason at any time. We may also modify, suspend, or discontinue any part of our services without prior notice.

Our Property

All content on the Tesseracq Labs website, including but not limited to text, graphics, logos, images, animations, 3D assets, source code, and software, is the exclusive property of Tesseracq Labs and is protected by intellectual property laws. Unauthorized use, reproduction, or distribution is strictly prohibited.

Client Work

Upon full payment of all agreed-upon fees, ownership of the final deliverables (as defined in the project agreement) will transfer to the client. Tesseracq Labs retains the right to showcase completed work in our portfolio unless otherwise agreed upon in writing.

Tesseracq Labs retains ownership of all preliminary concepts, drafts, and unused designs that were not selected as part of the final deliverables.

As a client of Tesseracq Labs, you agree to:

• Provide accurate and complete information necessary for project execution
• Respond to requests for feedback and approvals in a timely manner
• Ensure that all content and materials provided do not infringe on third-party rights
• Make payments according to the agreed-upon schedule
• Designate a single point of contact for project communications

Payment terms will be outlined in the individual project agreement. Unless otherwise stated:

• A non-refundable deposit is required before project commencement
• Progress payments may be required at agreed-upon milestones
• Final payment is due upon project completion and before final file delivery
• Late payments may incur additional fees as specified in the project agreement

All prices are quoted in Malaysian Ringgit (MYR) unless otherwise specified. Prices are exclusive of applicable taxes unless stated otherwise.

Tesseracq Labs will make reasonable efforts to complete projects within agreed-upon timelines. However, timelines may be affected by factors including but not limited to:

• Delays in receiving client feedback or materials
• Changes in project scope or requirements
• Force majeure events beyond our reasonable control

Any significant changes to the project timeline will be communicated to the client as soon as reasonably possible.

The number of revision rounds included in a project will be specified in the project agreement. Additional revisions beyond the agreed scope may incur extra charges. Major changes to the project scope after approval may require a new agreement or amendment.

To the fullest extent permitted by applicable law, Tesseracq Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising from your use of our website or services.

Our total liability for any claims arising from or related to our services shall not exceed the total amount paid by you for the specific service giving rise to the claim.

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied. While we strive to deliver high-quality work, we do not guarantee that our services will be uninterrupted, error-free, or meet all of your specific requirements beyond what is agreed upon in the project scope.

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the project. This obligation survives the termination of any agreement between the parties. Tesseracq Labs will not disclose client business information to third parties without written consent.

Either party may terminate a project agreement with written notice as specified in the project agreement. In the event of termination:

• The client shall pay for all work completed up to the date of termination
• Any deposits paid are non-refundable
• Tesseracq Labs will deliver all completed work upon receipt of outstanding payments

These Terms and Conditions shall be governed by and construed in accordance with the laws of Malaysia. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of Malaysia.

We reserve the right to modify these Terms and Conditions at any time. Changes will be effective immediately upon posting on our website. Your continued use of our services after any modifications constitutes acceptance of the updated terms. We encourage you to periodically review these terms.
